Paramount Global and controlling shareholder Shari Redstone had hoped to close the deal to merge the media company with Skydance Media by this point.
But as the deal is still pending FCC approval, and with a potential settlement with Donald Trump in his lawsuit against “60 Minutes” looming, Paramount has set a date for its 2025 annual meeting of stockholders and nominated three new members to its board.
The Paramount annual meeting is scheduled to be held by live webcast starting at 9 a.m. ET on Wednesday, July 2, 2025. The company has nominated three new directors: Mary Boies, counsel to Boies Schiller Flexner LLP; Charles E. Ryan, founder and general partner of Almaz Capital; and Roanne Sragow Licht, former judge and adjunct professor at Boston University and Roger Williams University. The company disclosed the shareholder meeting date and the three directors in its 2025 proxy statement filed Monday with the SEC.
The current board members standing for reelection are Redstone, non-executive chair of Paramount Global; Barbara M. Byrne; Linda M. Griego; and Susan Schuman. That would leave the Paramount board with seven members following the annual meeting in July.
Judith McHale, who currently serves on Paramount’s board and is chair of the compensation committee, is not standing for re-election, as she wanted to step back from her professional commitments across her public board positions.
